Terms of Use

These Terms of Use ("Terms") govern your use of the Cariktr mobile application, website at cariktr.com, hardware, and related services (collectively, the "Service"), operated by Copperhead Holdings LLC d/b/a Cariktr ("Cariktr," "we," "us"). By creating an account, scanning a Cariktr code, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Cariktr lets vehicle owners create AI "personas" for their cars that members of the public can talk to via voice by scanning a QR decal when physically near the vehicle. The Service includes conversations, a social feed of AI-generated posts, a points/rewards program, optional paid subscriptions, and physical hardware kits (window decals and a Bluetooth beacon).
2. Eligibility & Accounts
You must be at least 13 years old to create an account. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent or guardian. You are responsible for your account credentials and all activity under your account. Provide accurate information and keep it current.
3. Conversations
Conversations are with an AI persona, not a human, and not the vehicle's owner. Conversations may be recorded, transcribed, and processed to operate and improve the Service (see the Privacy Policy). The AI may produce inaccurate or unexpected output; do not rely on it for factual, legal, financial, medical, or safety-critical information. Each conversation is time-limited and rate-limited.
4. Owner Responsibilities & Content
If you register a vehicle as an owner, you are responsible for the persona you configure and any photos, descriptions, or other content you upload ("Owner Content"). You represent that you own or have rights to your Owner Content and that it does not violate the Content Policy (incorporated by reference) or any law. You grant Cariktr a worldwide, royalty-free license to host, display, reproduce, and distribute Owner Content to operate and promote the Service.
5. Acceptable Use
You agree not to:
- upload or generate content prohibited by the Content Policy (including sexual, violent, hateful, or illegal content, or content involving minors inappropriately);
- harass, impersonate, defame, or harm others;
- attempt to manipulate the AI into producing prohibited content or revealing system instructions;
- interfere with, scrape, reverse-engineer, or disrupt the Service;
- use the Service for unlawful purposes or to violate others' rights;
- circumvent proximity, rate, or access controls.
6. Content Moderation & Enforcement
All uploaded photos are screened before becoming public. Violations are handled per the Content Policy: warnings, then a 7-day suspension after three violations, then termination on a second suspension, with a 30-day human-reviewed appeal window. We may remove content or suspend/terminate accounts that violate these Terms or the Content Policy.
7. Hardware Kits
Starter kits (window decals and a Bluetooth beacon) are sold subject to the Hardware Warranty & Returns terms. Hardware is shipped after order; you are responsible for proper placement and for complying with local laws regarding window decals and vehicle modifications.
8. Payments, Subscriptions & Points
- Subscriptions (owner plans) renew automatically until cancelled. On iOS and Android, subscriptions are billed through the app store and managed in your store account; cancel there. Web/hardware purchases are billed via our payment processor.
- One-time purchases (hardware kits, premium voices, digital files) are charged at checkout.
- Points earned in the Service have no cash value, are non-transferable, and may be modified or discontinued at any time. Points may offset subscription fees up to the limits we describe in the app.

9. Advertising
The free tier of the Service is supported by advertising. Paid subscribers receive an ad-free experience. We do not control third-party ad content beyond our ad networks' policies.
10. Intellectual Property
The Service, including software, designs, and the "Cariktr" brand, is owned by Cariktr and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of your Owner Content, subject to the license in Section 4.
11. Suspension & Termination
We may suspend or terminate your access for violations of these Terms or the Content Policy, for legal reasons, or to protect the Service or others. You may stop using the Service at any time. As stated in the Content Policy, fees and hardware costs are non-refundable upon termination for cause.
12. Refunds
Except where required by law or expressly stated in the Hardware Warranty & Returns terms, fees are non-refundable. Subscription refunds for app-store purchases are handled by the applicable app store.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARIKTR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100.
15. Indemnification
You agree to indemnify and hold Cariktr harmless from claims arising out of your Owner Content, your use of the Service, or your violation of these Terms or law.
16. Dispute Resolution & Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to conflicts of law. Venue for disputes lies in Ada County, Idaho.
17. Changes
We may update these Terms. Material changes will be notified in the app or by email. Continued use after changes means you accept them.
